These General Terms and Conditions (GTC) govern the contractual relationship between Outleap GmbH & Co KG (hereinafter "Gunfinder") and the dealers (hereinafter "Customer") who conclude a dealer subscription on the Gunfinder platform. Gunfinder acts solely as an intermediary between the dealers and their customers and assumes no responsibility for the products or services offered by the dealers. These GTC apply to all services provided by Gunfinder as part of the Dealer Subscription, in particular the use of the Platform and associated advertising and sales activities. These GTC apply in addition to the general GTC of Gunfinder.
Gunfinder provides the Dealer with a platform to advertise products and services and to broker them to potential buyers. Gunfinder itself does not become a party to the contracts concluded between the Dealer and the Buyer. The conclusion of the contract, the processing and the enforcement of claims are the sole responsibility of the contracting parties (dealer and buyer).
Gunfinder acts solely as the technical provider of the platform on which dealers can post their offers and buyers can view them. The products offered, their description and pricing are the sole responsibility of the dealer.
The scope of services offered by Gunfinder depends on the selected subscription (Starter, Pro, Expert, Enterprise). The following services may be included in the subscription:
Gunfinder does not guarantee the success of the products advertised on the platform or the conclusion of contracts between dealers and buyers.
As part of certain subscriptions, the customer receives a monthly advertising credit that can be used exclusively for advertising banners on the Gunfinder platform and its partner sites. The advertising credit is subject to the following conditions:
The contract for the merchant subscription is concluded for an indefinite period and is automatically renewed at the end of each month unless notice of termination is given. The dealer can terminate the contract at any time via the Gunfinder profile. Cancellation must be made at least 30 days before the end of the month in order to be effective.
Gunfinder reserves the right to terminate the subscription extraordinarily if the Dealer breaches material contractual provisions, in particular statutory provisions or these GTC.
Gunfinder is only liable to the extent permitted by law and is excluded from liability in all areas insofar as this is legally possible. The following applies in particular:
The amount of the monthly subscription fee depends on the selected subscription rate. All prices are quoted in euros and are subject to VAT. Payment of the monthly subscription fee shall be made in advance, either by direct debit or another agreed payment method. The merchant undertakes to pay all amounts due on time.
In the event of late payment, Gunfinder reserves the right to block access to the platform and the services of the Dealer Subscription until the outstanding payments have been settled.
The Dealer is responsible for the legal correctness and completeness of the content posted by him on the Platform, in particular the product descriptions and price details. Gunfinder accepts no liability for any infringements of the law by the Dealer.
Gunfinder reserves the right to remove content that violates legal provisions or these GTC without prior notice. The dealer is obliged to ensure that the products offered by him do not violate applicable laws, in particular gun laws.
Gunfinder reserves the right to amend these GTC at any time. The Dealer will be notified of any changes by e-mail or via the Dealer profile at least 14 days before they come into force. If the Dealer does not object to the changes within the specified period, the amended GTC shall be deemed accepted. In the event of an objection, Gunfinder reserves the right to terminate the contractual relationship.
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the invalid provision.
The law of the Federal Republic of Germany shall apply. The exclusive place of jurisdiction for all disputes arising from or in connection with these GTC shall be the registered office of Outleap GmbH & Co KG, provided that the retailer is a merchant within the meaning of the German Commercial Code.
